INTRODUCTION
Welcome to LifeKeys Shepherd™. These Terms of Use ("Terms") govern your access to and use of the LifeKeys Shepherd platform available at www.LifeKeys-Shepherd.com (the "Platform") and constitute a legally binding agreement between you ("User," "you," or "your") and LifeKeys Shepherd ("LifeKeys Shepherd," "we," "us," or "our").
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM. BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.
1. NOT A LEGAL SERVICE — CRITICAL DISCLAIMER
LifeKeys Shepherd is a personal document organization platform — NOT a law firm, estate planning attorney, financial advisor, tax advisor, or legal service of any kind.
Nothing on this Platform constitutes legal advice, financial advice, tax advice, or any other professional advice. A Letter of Last Instruction created through LifeKeys Shepherd is a personal organizational document — it is NOT a legal document and does NOT replace a Last Will and Testament, Trust, Power of Attorney, Advance Directive, or any other legal instrument.
You should consult a qualified estate planning attorney licensed in your state for all legal estate planning needs. LifeKeys Shepherd is designed to complement, not replace, professional legal estate planning services.
2. ACCEPTANCE OF TERMS
By accessing or using the Platform you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding agreement; (c) you are not prohibited by any applicable law from using the Platform; and (d) all information you provide is accurate and complete.
If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. KEYHOLDER™ TERMS
The KeyHolder™ system — your chosen guardian, entrusted to protect and pass on the keys to your life and legacy — is a proprietary feature of LifeKeys Shepherd. The following terms govern KeyHolder™ designations:
3.1 Designating a KeyHolder™
By designating a KeyHolder™, you: (a) represent that you have obtained the consent of the designated person; (b) authorize LifeKeys Shepherd to contact the designated person and share their designation with them; (c) authorize LifeKeys Shepherd to grant the designated person the level of access you have specified under the verified trigger conditions described in our KeyHolder™ Agreement; and (d) accept full responsibility for the accuracy of the information you provide about your designated KeyHolder™.
3.2 KeyHolder™ Acceptance
A KeyHolder™ designation is not active until the designated person accepts the role by: creating their own LifeKeys Shepherd credentials, reading and accepting the KeyHolder™ Agreement, and completing the verification process. LifeKeys Shepherd is not responsible for a designated person's failure to accept the KeyHolder™ role.
3.3 KeyHolder™ Limitations
KeyHolders™ are granted read-only access to the categories you specify. KeyHolders™ may NOT edit, delete, modify, or share your stored information. All KeyHolder™ activity is logged. You may add, modify, or revoke KeyHolder™ designations at any time while your account is active.
3.4 LifeKeys Shepherd Not Liable for KeyHolder™ Actions
Once access is properly granted to a KeyHolder™ through our verified trigger system, LifeKeys Shepherd is not responsible or liable for how your designated KeyHolder™ uses, shares, or acts upon the information they access. The KeyHolder™ system is provided as a convenience tool — LifeKeys Shepherd does not independently verify the identity, trustworthiness, or intentions of designated KeyHolders™.
4. USER RESPONSIBILITIES
You are solely responsible for:
- Maintaining the confidentiality of your login credentials and preventing unauthorized access to your account
- The accuracy and completeness of all information you enter into the Platform
- Keeping your KeyHolder™ designations current and up to date as circumstances change
- Notifying LifeKeys Shepherd immediately of any unauthorized access to your account
- Ensuring your designated KeyHolders™ understand their role and responsibilities
- Downloading and maintaining copies of your Letter of Last Instruction outside the Platform
- Informing your family and trusted contacts about your LifeKeys Shepherd account and KeyHolders™
5. PROHIBITED USES
You may NOT use the Platform to:
- Violate any applicable local, state, national, or international law or regulation
- Store information about any person other than yourself without their explicit written consent
- Attempt to gain unauthorized access to any other user's account or information
- Upload malicious code, viruses, or any software designed to damage or interfere with the Platform
- Reverse engineer, decompile, or disassemble any portion of the Platform
- Scrape, copy, or reproduce any portion of the Platform's content or functionality
- Use the Platform for any commercial purpose other than as expressly authorized
- Impersonate any person or entity or misrepresent your identity
- Attempt to circumvent any security measure or access control system
6. INTELLECTUAL PROPERTY
LifeKeys Shepherd™, KeyHolder™, "Your Life. Organized. Secured. Conveyed.™", and "The Essential Estate Planning Companion" are trademarks of LifeKeys Shepherd. All Platform content, software, design, methodology, and user interface elements are protected by copyright, trademark, patent pending status, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal use in accordance with these Terms. This license does not include the right to: copy or reproduce any portion of the Platform, create derivative works, distribute or publicly display Platform content, or use Platform content for any commercial purpose.
Unauthorized use of LifeKeys Shepherd trademarks or intellectual property is strictly prohibited and may result in legal action.
7. SUBSCRIPTION, PAYMENT, AND CANCELLATION
7.1 Free and Paid Plans
LifeKeys Shepherd offers both free and paid subscription plans. Free plan features are limited as described on the Platform. Paid plans provide access to all 36 categories and additional features.
7.2 Payment Terms
Paid subscriptions are billed annually or as a one-time lifetime fee as selected at purchase. All fees are in U.S. dollars. You authorize LifeKeys Shepherd to charge your payment method for all applicable fees.
7.3 Refund Policy
Annual subscriptions may be cancelled within 30 days of purchase for a full refund. After 30 days, no refunds are issued for the current billing period. Lifetime plans are non-refundable after 30 days of purchase.
7.4 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access to your paid features until the end of the current billing period. After cancellation, your account reverts to the free plan and you will retain access to your data for 90 days before deletion.
8. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LIFEKEYS SHEPHERD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
LifeKeys Shepherd does not warrant that: (a) the Platform will be uninterrupted or error-free; (b) defects will be corrected; (c) the Platform is free of viruses or harmful components; or (d) the results of using the Platform will meet your requirements.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIFEKEYS SHEPHERD, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use the Platform
- Any conduct or content of any third party on the Platform
- Any content obtained from the Platform
- Unauthorized access, use, or alteration of your transmissions or content
- Actions of your designated KeyHolder™ following properly authorized access
IN NO EVENT SHALL LIFEKEYS SHEPHERD'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LIFEKEYS SHEPHERD IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless LifeKeys Shepherd and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform; (c) your User content or information; (d) your violation of any third party rights; or (e) any actions of your designated KeyHolders™ following access granted through our verified system.
11. ACCOUNT TERMINATION
11.1 Termination by You
You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to access the Platform ceases immediately.
11.2 Termination by LifeKeys Shepherd
LifeKeys Shepherd may suspend or terminate your account immediately, without prior notice or liability, if: (a) you breach these Terms; (b) we are required to do so by law; (c) you engage in fraudulent or abusive behavior; or (d) your account is inactive for more than 24 months without responding to inactivity notices.
11.3 Effect of Termination
Upon termination, your data will be retained for 90 days and then permanently deleted, unless a longer retention period is required by law or has been triggered by the verified death notification process described in our Privacy Policy.
12. DISPUTE RESOLUTION AND ARBITRATION
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be addressed through good faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
ARBITRATION MEANS YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR ABILITY TO PARTICIPATE IN A CLASS ACTION LAWSUIT.
Arbitration shall take place in Howard County, Maryland. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
13. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the State of Maryland, without giving effect to any choice or conflict of law provision or rule. To the extent any dispute is not subject to arbitration, you consent to personal jurisdiction in the state and federal courts located in Howard County, Maryland.
14. DATA PORTABILITY AND ACCOUNT CONTINUITY
LifeKeys Shepherd is committed to ensuring you always have access to your data. You may download your complete Letter of Last Instruction and all stored data at any time in PDF or JSON format. In the event of a change in ownership, hosting provider, or business structure, LifeKeys Shepherd will provide at least 90 days advance notice and ensure continuity of your data and KeyHolder™ access system.
15. FORCE MAJEURE
LifeKeys Shepherd shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, internet service provider failures, or cybersecurity attacks.
16. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on the Platform and sending an email notification at least 30 days before changes take effect. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Platform before the effective date.
17. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
18. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and KeyHolder™ Agreement, constitute the entire agreement between you and LifeKeys Shepherd regarding the Platform and supersede all prior agreements and understandings, written or oral.
